Terms and Conditions for Star Media One Ltd T/A Business Intermediary Solutions

1. Introduction

Welcome to Star Media One Ltd T/A Business Intermediary Solutions (“Company,” “we,” “our,” or “us”). These Terms and Conditions (“Agreement”) govern your use of our business intermediary services, including business matchmaking, deal facilitation, and advisory support (collectively, “Services”). By engaging our services, you agree to comply with and be bound by this Agreement.

2. Services Provided

The Company acts as an intermediary between buyers and sellers funders, investors and businesses, or other relevant parties to facilitate business transactions. Our services may include, but are not limited to:
• Business introductions and matchmaking
• Negotiation facilitation
• Market research and analysis
• Contract assistance

3. Eligibility

To use our Services, you must:
• Have the legal authority to enter into binding agreements.
• Provide accurate and complete business and/or personal information during the engagement process.

4. Fees and Payment

• Our fees may be based on commission, fixed rates, or retainers, depending on the agreed terms.
• Payment terms will be outlined in a separate engagement agreement.
• Failure to make payments will result in the suspension or termination of Services.

5. Confidentiality

• Both parties agree to keep any information shared during the engagement strictly confidential.
• Confidentiality obligations do not apply to publicly available information or disclosures required by law.

6. No Guarantee of Success

While we strive to facilitate successful transactions, we do not guarantee that any deal, introduction, or business opportunity will result in a successful outcome.

7. Limitation of Liability

• The Company is not liable for any direct, indirect, incidental, or consequential loss or damages resulting from the use of our services.
• We are not responsible for the actions or decisions of any third parties or businesses involved in transactions entered into. We are not responsible for any faults, failures, installations or issues resulting from work carried out by any of our introduced businesses, they are liable for their own business under their own terms and conditions.

8. Termination

• Either party may terminate this Agreement upon expiry of the agreed contracted dates with written notice.
• Termination does not relieve the client of any outstanding payment obligations.

9. Governing Law & Dispute Resolution

• This Agreement shall be governed by the laws of England and Wales.
• Any disputes shall be attempted to be resolved through arbitration mediation before commencing litigation.

10. Amendments

We reserve the right to update these Terms and Conditions at any time. Changes will be communicated to clients and will take effect upon publication.
